 The role of the Ultimate Beneficial Owners of the Trusts according to international registers is performed by the trustees, citizens of the Republic of Cyprus and 2 legal entities registered under the laws of Cyprus. Each of them supports Ukraine, including publicly demonstrating their position. For example, Andreas Sophocleous, as a representative of the trust, has focused on charity since the beginning of the full-scale war and takes care of the families of refugees from Ukraine in Cyprus 
What is a trust? 
- A trust is an asset management tool that guarantees transparency and control. 
- Management decisions are made by professional managers (trustees) in accordance with the rules of international law.

 ❗️Vadim Novinsky is NOT a beneficiary or owner of Smart Holding. He is historically the founder. He will not receive any dividends from the activity of the assets after the transfer of assets to the Trust and it does not affect the business. 
❗️In 2023, the company completed the planned reform of the company's corporate governance. The agreement to transfer assets to the trust is irrevocable and does not provide for any benefits for the founder of the Trusts. That is, it completely eliminates even the hypothetical desire of the founder to return the assets to himself. 

 In April 2023, the Ministry of Justice, guided by the appeal of a private individual, unilaterally removed the Cypriots and returned the founder. In 2024, the Supreme Court recognized such actions of the Ministry of Justice as illegal. And in April 2025, the Ministry of Justice once again considered the appeal of two years ago and recognized it as groundless. But the Ministry of Justice is still ignoring the implementation of the Supreme Court's decision

UAH 3.2 billion of investments in Ukrainian subsoil stopped due to blocking of special permits

Smart Energy Group is forced to stop the implementation of development programs totaling UAH 3.2 billion. These are investments in Ukrainian subsoil, which were planned for 2025 and included drilling new wells, construction and modernization of production facilities. Due to the suspension of special permits for hydrocarbon production and, as a result, the blocking of the work of the group's companies, further implementation of the group's production program is not possible. 


Currently, two companies of the group (Representative Office of Regal Petroleum Corporation Limited in Poltava region and Prom-Enerho Product in Kharkiv region) are in forced downtime. The validity of three special permits for hydrocarbon production held by the group's companies was suspended on November 15, 2024, by order of the State Geological Survey of Ukraine in implementation of the NSDC Decision on the application of sanctions against the group's current beneficiaries - EU citizens, Cypriot trustees.

Thanks to the resumption of gas production, Ukraine will be able to prepare better for the next winter

In 2024, businesses within the Smart Holding Group contributed over UAH 1.2 billion in taxes to budgets at various levels. These funds have been a vital contribution to supporting Ukraine’s economic resilience amid the ongoing war.

Since the beginning of the full-scale invasion, the Group’s companies have paid nearly UAH 8 billion in taxes to the state and local budgets. Additionally, over UAH 3 billion has been allocated to humanitarian aid for the population and support for the Armed Forces of Ukraine.
